يكون العقد الابتدائى الذى يبرمه المؤسسون طبقا للنموذج الذى يصدره
الوزير المختص بقرار منه .
ولا يجوز أن يتضمن العقد أية شروط تعفى المؤسسون أو بعضهم من
المسئولية الناجمة عن تأسيس الشركة ، أو أية شروط أخرى ينص على سريانها
على الشركة بعد انشائها ما لم تدرج في عقد التأسيس أو النظام الأساسى .
