يعتبر مؤسسا للشركة كل من يشترك اشتراكا فعليا في تأسيسها بنية تحمل
المسئولية الناشئة عن ذلك ، ويسرى عليه حكم المادة ٨٩ من هذا القانون .
ويعتبر مؤسسا على وجه الخصوص كل من وقع العقد الابتدائى ، أو طلب
الترخيص في تأسيس الشركة ، أو قدم حصة عينية عند تأسيسها .
ولا يعتبر مؤسسا من يشترك في التأسيس لحساب المؤسسين من أصحاب
المهن الحرة وغيرهم .
