تنتهى الشركة بموت الشريك الذى يعهد اليه بالادارة،الا اذا نص على غير ذلك واذا خلا عقد الشركة من نص على مايتبع فى هذه الحالة،كان لمجلس المراقبة أن يعين مديرا مؤقتا للشركة ، يتولى أعمال الادارة العاجلة الى ان تعقد لجمعية العامة .
ويقوم المدير المؤقت بدعوة الجمعية العامة خلال خمسة عشر يوما من تعيينه وفقا للاجراءات التى ينص عليها العقد .
ولا يكون المدير المؤقت مسئولا الا عن تنفيذ وكالته .
