لا يجوز للجمعية العامة للمساهمين أن تباشر أو أن تقر الأعمال المتعلقة بصلة الشركة بالغير ، أو أن تعدل عقد الشركة الا بموافقة المديرين مالم يقض عقد الشركة بغير ذلك ، وتنوب الجمعية العامة عن المساهمين فى مواجهة المديرين .
