مجلس إدارة هيئة القطاع العام هو السلطة العليا المهيمنة على شئونها وتصريف أمورهم وله أن يتخذ ما يراه لازما من القرارات لمباشرة اختصاصات الهيئة لتحقيق الغرض الذي أنشئت من أجله في إطار الأهداف والخطط والسياسة العامة للدولة وعلى الوجه المبين بهذا القانون، وله بصفة خاصة الاختصاصات المبينة في المواد الآتية:
