تكون الجمعية العامة للشركة برئاسة وزير الكهرباء والطاقة وأعضاء لا يزيد عددهم على أربعة عشر عضوا يصدر باختيارهم قرار من مجلس الوزراء بناء على اقتراح من وزير الكهرباء والطاقة. على أن يعكس التشكيل حقوق الملكية وأن يكون من بينهم ممثل للاتحاد العام لنقابات عمال مصر.
ويحدد هذا القرار ما يتقاضونه من بدل حضور الجلسات.
ويحضر اجتماعات الجمعية العامة رئيس وأعضاء مجلس إدارة الشركة ومراقبو الحسابات بالجهاز المركزى للمحاسبات دون أن يكون لهم صوت معدود.
