يجوز لمجلس الادارة أن يعين مديرا عاما للشركة من غير الأعضاء يتولى رئاسة الجهاز التنفيذى بها ، ويجوز أن يدعى لحضور جلسات مجلس الادارة دون أن يكون له صوت معدود .
ويباشر المدير العام أعماله تحت اشراف العضو المنتدب أو رئيس مجلس الادارة اذا كان يقوم بأعمال الادارة الفعلية ، ويكون مسئولا أمامه .
