Article 56 of the Companies Law

لا يعتبر ملزما للشركة أى تصرف يصدر عن أحد موظفيها أو الوكلاء عنها ،
مالم يكن مرخصا به صراحة أو ضمنا من الجمعية العامة أو مجلس الادارة أو من
يفوضه من أعضائه في الادارة بحسب الأحوال .
ومع ذلك يكون للغير حسن النية أن يتمسك في مواجهة الشركة بأى تصرف
يجريه أحد موظفى الشركة أو وكلائها ، اذا قدمته احدى الجهات المشار اليها
على أنه يملك سلطة التصرف نيابة عنها ، واعتمد الغير على ذلك في تعامله مع
الشركة .
