يكون حكم المديرين من حيث المسئولية حكم أعضاء مجلس ادارة شركات المساهمة .
وتحدد اللائحة التنفيذية الشروط الواجب توافرها فى المديرين .
واذا عهد بالادارة الى شخص واحد ، وجب عليه ابلاغ جمعية الشركاء عن كل تعارض بين مصلحته ومصلحة الشركة فى أى عملية من العمليات التى يزمع اجراؤها للترخيص بالعملية أو لاتخاذ ما تراه الجمعية من اجراء .
