يكون للصندوق مجلس إدارة برئاسة الأمين العام للمجلس القومى للطفولة والأمومة ،
ويصدر بتشكيل مجلس إدارة الصندوق ونظام العمل فيه قرار من رئيس مجلس الوزراء ،
وتكون مدة مجلس إدارة الصندوق ثلاث سنوات قابلة للتجديد .
