يجوز لعضو الجمعية أن يوكل عضوا آخر فى الحضور والتصويت نيابة عنه بتوكيل معتمد.
وفى جميع الأحوال لا يكون لأى عضو بصفته أصيلا ووكيلا عن الغير عدد من الأصوات يجاوز صوتين من مجموع الأصوات الصحيحة للحاضرين فى الجمعية العمومية.
