يشكل سنويا مجلس تأديب استئنافى بقرار من الوزير المختص من رئيس إدارة الفتوى المختصة بمجلس الدولة وتكون له الرئاسة، وأربعة أعضاء أصليين وأربعة أعضاء احتياطيين يختارهم جميعا الوزير المختص على النحو التالى:
- عضوان من التجار المقيدين بسجل تجار القطن.
- عضوان من المنتجين.
ويكون انعقاد مجلس التأديب الاستئنافى بمقر اللجنة العامة بمدينة الإسكندرية.
