تشكل لجنة المراجعة من ثلاثة أعضاء من مجلس الإدارة غير التنفيذيين يختارهم مجلس الإدارة ويحدد رئيسها من بينهم ، ويجوز لمجلس الإدارة أن يضم إلى تشكيلها عضوا من ذوى الخبرة من غير أعضاء مجلس الإدارة ، وتهدف إلى ضمان سلامة نظم الرقابة الداخلية والحوكمة .
وللجنة أن تدعو مراقبى الحسابات أو من تراه من الإدارة التنفيذية للبنك المركزى لحضور اجتماعاتها دون أن يكون لهم حق التصويت .
