يكون للمعهد المصرفي مجلس إدارة لا يزيد عدد أعضائه على تسعة ، وتكون مدة المجلس أربع سنوات قابلة للتجديد ، ويصدر بتشكيله قرار من مجلس الإدارة ، ويمثل المعهد رئيس مجلس إدارته أمام القضاء وفي صلاته بالغير .
ويكون للمعهد مدير تنفيذي ، يتم اختياره من ذوي الخبرة ، ويصدر بتعيينه قرار من مجلس إدارة المعهد .
