على كل عضو فى مجلس ادارة الشركة ، وكل مدير من مديريها تكون له مصلحة تتعارض مع مصلحة الشركة فى عملية تعرض على مجلس الادارة لاقرارها، أن يبلغ المجلس ذلك وأن يثبت ابلاغه فى محضر الجلسة . ولا يجوز له الاشتراك فى التصويت الخاص بالقرار الصادر فى شأن هذه العملية .
وعلى مجلس الادارة ابلاغ أول جمعية عامة بالعمليات المشار اليها فى الفقرة السابقة قبل التصويت على القرارات .
