يحظر على شركات المساهمة التى يكون من بين أغراضها تلقى الأموال لاستثمارها إصدار أو إنشاء حصص تأسيس أو حصص أرباح أو أسهم تمتع أو أسهم ممتازة ويجوز لشركات المساهمة الأخرى إصدار صكوك تمويل ذات عائد متغير لا يجاوز ما يحدده البنك المركزى المصرى بالاتفاق مع الهيئة فى ضوء متطلبات تنمية سوق المال المصرى، وتوفير رؤوس الأموال اللازمة للمشاركة فى التنمية الاقتصادية للمجتمع.
وتنظم اللائحة التنفيذية شروط وقواعد إصدار وتداول تلك الصكوك فى بورصات الأوراق المالية.
