لا يكون انعقاد مجلس الإدارة صحيحا إلا بحضور أغلبية أعضائه وتصدر قراراته بالأغلبية المطلقة لعدد الأعضاء الحاضرين فإذا تساوت الأصوات رجح الرأى الذى منه الرئيس .
