إذا أفلست شركة مساهمة أو شركة حصص يحكم على أعضاء مجلس إدارتها
ومديريها بالعقوبة المقررة للتفالس بالتقصير فى الحالات الآتية :
١ - إذا ثبت أنهم ارتكبوا أمرا من الأمور المنصوص عليها فى البنود من الثالث
إلى التاسع من المادة ( ٢٥٤ ) من هذا القانون .
٢ - إذا أهملوا بطريق الغش فى نشر عقد الشركة بالكيفية التى نص عليها القانون .
٣ - إذا اشتركوا فى أعمال مغايرة لما هو منصوص عليه فى النظام الأساسى للشركة .
