لكل تاجر ، لا يقل رأسماله عن مليون جنيه ، وزاول التجارة بصفة مستمرة خلال السنتين السابقتين على تقديم الطلب ولم يرتكب غشا أن يطلب إعادة الهيكلة .
ولا تجوز إعادة هيكلة الشركة وهى فى دور التصفية .
