ويحكم في تلك الحالة على أعضاء مجلس الإدارة والمديرين المذكورين بالعقوبات المقررة للتفالس بالتقصير :
( أولا ) إذا ثبت عليهم أنهم ارتكبوا أمرا من الأمور المنصوص عليها في الحالتين الثانية والثالثة من المادة ٣٣٠ وفي الأحوال الأولى والثانية والثالثة والرابعة من المادة ٣٣١ من هذا القانون .
( ثانيا ) إذا أهملوا بطريق الغش في نشر عقد الشركة بالكيفية التي نص عليها القانون .
