يتكون رأس مال الهيئة من :
( ١ ) أموال المؤسسة المصرية العامة للبترول .
( ٢ ) أنصبة الدولة فى رؤوس أموال شركات القطاع العام للبترول التى كانت تابعة للمؤسسة المذكورة .
( ٣ ) أنصبة المؤسسة المذكورة فى رؤوس أموال الشركات التى يساهم شريك أجنبى فى رأس مالها .
( ٤ ) أنصبة الهيئة فى رؤوس أموال الشركات التى تنشئها وتملكها بمفردها أو بالاشتراك مع الغير .
( ٥ ) الأموال التى تخصصها لها الدولة .
