يعاقب المسئول عن الإدارة الفعلية للشركة بالعقوبات المقررة عن الأفعال التي ترتكب بالمخالفة لأحكام هذا القانون، متی ثبت علمه بها أو كانت المخالفة قد وقعت بسبب إخلاله بواجباته الوظيفية.
وفي جميع الأحوال، تكون أموال الشركة ضامنة للوفاء بما يحكم به من عقوبات مالية.
