١ - إذا احتفظ البائع بملكية المبيع حتى أداء أقساط الثمن بأكملها اكتسب المشترى هذه الملكية بأداء القسط الأخير . ويتحمل المشترى تبعة هلاك المبيع من وقت تسليمه إليه.
٢ - مع عدم الإخلال بالأحكام المنصوص عليها فى باب الإفلاس لايكون شرط الاحتفاظ بالملكية نافذا على الغير إلا إذا كان الشرط مدونا فى ورقة ذات تاريخ ثابت وسابق على حق الغير أو على إجراءات التنفيذ التى يتخذها الدائنون على المبيع .
