يصدر قرار التقسيم من الجمعية العامة غير العادية للشركة أو من جماعة الشركاء، بحسب الأحوال، وذلك بأغلبية ثلاثة أرباع رأس المال.
ويتضمن القرار الصادر بالتقسيم عدد المساهمين أو الشركاء، وأسماؤهم، ونصيب كل منهم فى الشركات الناتجة عن التقسيم والخاضعة لأحكام هذا القانون، وحقوق كل منها والتزاماتهم، وتوزيع الأصول والالتزامات بينهم.
