تعتبر الشركة المندمج فيها أو الشركة الناتجة عن الاندماج خلفا للشركات المندمجة ، وتحل محلها حلولا قانونيا فيما لها وما عليها ، وذلك فى حدود ما اتفق عليه فى عقد الاندماج مع عدم الاخلال بحقوق الدائنين .
