١ - تنتهي الشركة بهلاك جميع مالها أو جزء كبير منه بحيث لا تبقى فائدة من استمرارها .
٢ - وإذا كان أحد الشركاء قد تعهد بأن يقدم حصته شيئا معينا بالذات وهلك هذا الشيء قبل تقديمه، أصبحت الشركة منحلة في حق جميع الشركاء .
